Terms and Conditions

These Terms and Conditions (the “Terms”) constitute a binding legal agreement between the person or entity accessing or using the Service (“Customer”) and KIPN.AI, operated by Hana Rynkov, an individual business owner registered in Israel as an Osek Murshe (VAT-registered sole proprietor) (“KIPN.AI”, “we”, “us”, or “our”), the operator of the service available at https://kipn.ai and any related domain operated by KIPN.AI (the “Service”).

By accessing or using the Service, creating an Account, submitting a Workflow File, generating a Report, purchasing a Paid Plan, or otherwise using any part of the Service, Customer agrees to be bound by these Terms. If Customer does not agree to these Terms, Customer must not access or use the Service.


1. Definitions

“Account” means a registered account or user profile created for use of the Service.

“Customer Content” means Workflow Files, Sanitized Workflow Files, Reports, and any other content, files, data, information, or materials submitted to, processed through, generated by, or stored in connection with the Service by or on behalf of Customer.

“Free Plan” means access to the Service made available by KIPN.AI without payment, subject to applicable limits, restrictions, and conditions.

“Paid Plan” means any paid subscription, paid access tier, credit package, paid report, usage-based plan, add-on, premium feature, or other paid access to or use of the Service.

“Report” means an automated analytical output generated by the Service in relation to a Sanitized Workflow File, including any score, finding, classification, recommendation, explanation, summary, or other output generated by the Service.

“Sanitized Workflow File” means a Workflow File after processing by the Service’s sanitization mechanism, whereby values classified by the Service as sensitive may be removed, masked, replaced, categorized, tokenized, or otherwise modified.

“Sensitive Data” means credentials, secrets, tokens, API keys, authentication data, private keys, passwords, identifiers, URLs, personal data, confidential information, regulated data, or any other information that is, or may reasonably be considered, sensitive, confidential, private, regulated, or not intended for disclosure.

“Service” means the KIPN.AI software service, website, application, analysis engine, reporting functionality, account functionality, paid and free features, and related services made available by KIPN.AI.

“Third-Party Services” means any third-party products, platforms, software, infrastructure, APIs, services, vendors, processors, providers, or systems not operated by KIPN.AI, including without limitation hosting providers, infrastructure providers, database providers, authentication providers, analytics providers, email providers, payment processors, AI or model providers, n8n, Make, and other automation platforms.

“Workflow File” means a supported exported JSON workflow, scenario, configuration, or automation file submitted to the Service, including exports from n8n, Make, or another automation platform supported by KIPN.AI from time to time.


2. The Service

KIPN.AI provides a software service for analyzing supported automation workflow JSON files and generating automated analytical reports.

The Service uses proprietary rules, scoring methodology, heuristics, professional judgment, experience, automated systems, and, where applicable, AI-assisted components to assess submitted workflows and generate Reports. Reports represent an opinionated analytical output generated by the Service and reflect KIPN.AI’s methodology, assumptions, classifications, and scoring approach as applied at the time of generation.

Reports are not certifications, formal audits, security attestations, legal opinions, compliance approvals, financial advice, accounting advice, operational guarantees, or professional advice.

KIPN.AI may modify, expand, reduce, replace, suspend, or discontinue any analysis method, scoring methodology, report structure, supported platform, feature, limitation, Free Plan, Paid Plan, or other part of the Service at any time, subject to these Terms and applicable law.


3. Beta Service

The Service is provided in beta, early-access, or pre-release form. Customer acknowledges that beta services may be incomplete, experimental, unstable, unavailable, inaccurate, or subject to material change.

KIPN.AI may add, remove, modify, suspend, limit, or discontinue any beta feature, analysis method, scoring methodology, report structure, supported platform, sanitization logic, AI-assisted component, account functionality, Free Plan, Paid Plan, limit, or other part of the Service at any time.

Reports may be incomplete, inaccurate, outdated, biased, inconsistent, or unsuitable for Customer’s specific circumstances. Customer shall not rely on the Service or any Report as the sole basis for any operational, security, financial, legal, compliance, or business decision.

The Service and Reports are provided on an “as is” and “as available” basis, without any service-level commitment, uptime commitment, accuracy commitment, availability commitment, support commitment, or warranty, except to the extent expressly required by applicable law.


4. Accounts

Access to the Service may require an Account. Customer shall provide accurate, current, and complete information required for registration, authentication, billing, compliance, fraud prevention, security, and operation of the Service, and shall keep such information accurate and current.

Customer is responsible for maintaining the confidentiality of Account credentials and for all activity occurring under the Account. Any activity performed through an Account shall be deemed activity of Customer.

KIPN.AI may suspend, restrict, or terminate access to an Account where KIPN.AI reasonably suspects unauthorized access, misuse, fraud, abuse, violation of these Terms, violation of applicable law, security risk, operational risk, or non-payment.


5. Eligibility

Customer must be at least eighteen (18) years old and legally capable of entering into binding agreements.

If Customer accesses or uses the Service on behalf of a company, organization, or other legal entity, Customer represents and warrants that Customer has full authority to bind such entity to these Terms. In such case, all references to Customer shall include such entity.


6. Plans, Billing, and Payment

A registered Customer may receive access to a Free Plan by default, unless otherwise determined by KIPN.AI.

KIPN.AI may offer Paid Plans that include additional functionality, higher usage limits, deeper Reports, paid Reports, premium analysis, usage credits, add-ons, or other paid features. The applicable fees, limits, billing period, renewal terms, and included features are those presented at checkout, in Customer’s Account, on the pricing page, in an applicable order form, or through another written or electronic purchase flow made available by KIPN.AI.

Fees are charged in advance unless otherwise stated. Customer authorizes KIPN.AI and its payment processors to charge all applicable fees, taxes, and charges using the payment method provided by Customer.

Unless otherwise stated at the time of purchase, subscriptions renew automatically until cancelled. Cancellation prevents future renewal charges but does not entitle Customer to a refund for the current billing period except as expressly provided in these Terms or required by applicable law.

Customer is responsible for all taxes, duties, levies, and governmental charges applicable to purchases, excluding taxes based on KIPN.AI’s income.

KIPN.AI may modify prices, plan limits, features, and billing terms from time to time. Changes to an active recurring Paid Plan will apply from the next renewal period unless otherwise stated by KIPN.AI or required by applicable law.


7. Refunds

Except as expressly provided in these Terms or required by applicable law, all fees are non-refundable.

If Customer pays for a Report, Paid Plan, or paid feature and the Service fails to generate the applicable Report due to a technical failure attributable to KIPN.AI, Customer may request a refund by contacting support@kipn.ai within seven (7) days of the failed report generation.

If a Report is generated, such Report shall be deemed accepted unless Customer notifies KIPN.AI at support@kipn.ai within seven (7) days of generation and reasonably identifies a material technical failure in the report generation process. A material technical failure may include, by way of example, generation of a Report for the wrong submitted file, failure to process material portions of the submitted workflow, or materially corrupted Report output.

Disagreement with KIPN.AI’s scoring methodology, prioritization, severity rating, classification, recommendations, language, analytical judgment, professional opinion, or conclusions shall not constitute a technical failure and shall not create any right to refund.

KIPN.AI may, in its sole discretion, issue refunds, credits, or partial refunds in other circumstances. Where a refund is granted for unused paid access, KIPN.AI may deduct payment processing fees, taxes, currency conversion costs, chargeback costs, administrative costs, and other non-recoverable transaction costs.

Refunds, where granted, will be made to the original payment method where reasonably possible.


8. Workflow Files and Validation

The Service is intended only for supported Workflow Files in valid JSON format.

KIPN.AI may reject, block, refuse to process, or delete any Workflow File or Customer Content that KIPN.AI determines, in its sole discretion, is invalid, unsupported, malformed, corrupted, excessive in size or complexity, unsafe, abusive, unlawful, technically unsuitable, or otherwise inconsistent with these Terms or the intended operation of the Service.

KIPN.AI is under no obligation to process any Workflow File or to support any specific workflow format, automation platform, version, node, module, field, configuration, export structure, or integration.


9. Sanitization

The Service is designed to sanitize Workflow Files before server-side storage and Report generation by replacing values classified by the Service as sensitive with placeholder, category, error-code, or equivalent replacement values.

Sanitization is performed using automated rules, patterns, classifications, heuristics, and other technical methods determined by KIPN.AI. KIPN.AI does not warrant that sanitization will identify, classify, replace, or remove all Sensitive Data.

Customer remains solely responsible for reviewing Workflow Files before submission and for ensuring that Workflow Files do not contain information that Customer is not permitted to submit, process, or make available through the Service.

Customer shall not intentionally submit live credentials, production secrets, API keys, private keys, passwords, confidential third-party data, regulated data, or other Sensitive Data to the Service.


10. Customer Content

As between Customer and KIPN.AI, Customer retains all right, title, and interest in Customer Content, subject to the rights granted to KIPN.AI under these Terms.

Customer grants KIPN.AI a worldwide, non-exclusive, royalty-free license to host, store, copy, process, analyze, transmit, display, reproduce, and otherwise use Customer Content as necessary or useful to provide, operate, maintain, secure, monitor, improve, and support the Service; generate and store Reports; provide Account history; process payments; enforce these Terms; prevent fraud, abuse, misuse, or security incidents; and comply with applicable law.

Customer represents and warrants that Customer has all rights, permissions, consents, authorizations, and lawful bases necessary to submit Customer Content to the Service and to permit KIPN.AI to process Customer Content in accordance with these Terms.

KIPN.AI shall not be responsible for Customer Content, including its accuracy, legality, quality, integrity, completeness, confidentiality, or suitability for processing.


11. Reports

Reports are generated automatically based on the Sanitized Workflow File and the methodology applied by the Service at the time of generation.

Reports are provided for informational purposes only. Reports may be incomplete, inaccurate, outdated, inconsistent, or unsuitable for Customer’s specific circumstances, environment, infrastructure, costs, workflow design, business requirements, risk tolerance, compliance obligations, or operational needs.

Customer is solely responsible for reviewing, validating, testing, and deciding whether to rely upon or implement any Report, finding, score, recommendation, or other output of the Service.

KIPN.AI does not warrant that any Report will identify all defects, risks, inefficiencies, costs, vulnerabilities, misconfigurations, reliability issues, or improvement opportunities. KIPN.AI does not warrant that following any Report will produce any particular technical, operational, financial, commercial, security, compliance, or business result.


12. AI-Assisted Output; Hallucinations

The Service may use artificial intelligence systems, machine-learning systems, large-language models, model providers, or similar automated technologies to generate, enhance, classify, summarize, explain, or support Reports or other Service outputs.

Customer acknowledges that AI-assisted output may be incomplete, inaccurate, outdated, biased, inconsistent, misleading, or fabricated, including by producing statements, explanations, classifications, or recommendations that appear plausible but are incorrect.

KIPN.AI does not warrant that any AI-assisted output is accurate, complete, lawful, non-infringing, current, reliable, or suitable for any particular purpose. Customer is solely responsible for independently reviewing, validating, testing, and deciding whether to rely on any AI-assisted output.


13. De-Identified Data and Service Improvement

KIPN.AI may use Customer Content, Reports, usage data, technical data, and related information to create de-identified, anonymized, aggregated, statistical, or derivative data that does not identify Customer or any individual in a manner reasonably intended by KIPN.AI.

KIPN.AI may use such data to operate, maintain, analyze, improve, benchmark, train, test, evaluate, and develop the Service, including its scoring methodology, rules, heuristics, AI-assisted components, report quality, safety, reliability, and performance.

KIPN.AI shall not intentionally disclose Customer’s Workflow Files or Reports to other customers in identifiable form.

To the extent permitted by applicable law, KIPN.AI owns all de-identified, anonymized, aggregated, statistical, or derivative data and all insights, models, rules, methods, benchmarks, and improvements derived from it.


14. Privacy

KIPN.AI’s collection and processing of personal data is described in the Privacy Policy, which is incorporated into these Terms by reference.

Customer shall not submit personal data, confidential data, regulated data, or Sensitive Data to the Service unless Customer has all rights, permissions, consents, and lawful bases required to do so.

In the event of any conflict between these Terms and the Privacy Policy regarding the processing of personal data, the Privacy Policy shall govern solely with respect to such processing.


15. Data Processing; No DPA Unless Executed

Customer acknowledges that the Service is intended primarily for the processing of automation workflow configuration data and not for the processing of personal data, regulated data, or sensitive personal information.

To the extent Customer submits personal data to the Service and applicable data-protection law characterizes Customer as a controller and KIPN.AI as a processor, Customer shall be responsible for ensuring that such submission is lawful and that all required notices, consents, lawful bases, and contractual arrangements are in place.

Customer shall not submit personal data to the Service where applicable law requires a data processing agreement, data processing addendum, standard contractual clauses, transfer mechanism, or other written data-processing terms unless such terms have been executed or otherwise agreed in writing by KIPN.AI.

In the absence of a written data processing agreement with KIPN.AI, Customer shall not submit Workflow Files or Customer Content containing personal data, regulated data, special-category data, protected health information, payment card data, government identifiers, children’s data, or other data requiring specific legal, contractual, or regulatory safeguards.


16. Security

KIPN.AI uses technical and organizational measures intended to protect the Service and reduce the risk of unauthorized access, misuse, loss, or disclosure.

Notwithstanding the foregoing, no online service, software system, storage system, transmission method, sanitization mechanism, authentication mechanism, or security control is completely secure. KIPN.AI does not warrant that the Service will be uninterrupted, error-free, secure, immune from unauthorized access, or free from vulnerabilities or security incidents.

Customer is responsible for maintaining appropriate security practices, protecting Account credentials, reviewing Workflow Files before submission, and avoiding submission of Sensitive Data that should not be processed through the Service.


17. Acceptable Use

Customer shall not, and shall not permit any third party to:

  1. use the Service in violation of applicable law, regulation, court order, or third-party rights;
  2. submit Customer Content that Customer is not legally permitted to submit or process through the Service;
  3. intentionally submit live credentials, production secrets, API keys, private keys, passwords, confidential third-party data, regulated data, or other Sensitive Data;
  4. submit malware, viruses, exploit code, harmful scripts, unlawful content, infringing content, defamatory content, harassing content, or abusive content;
  5. bypass, disable, circumvent, or interfere with validation, sanitization, authentication, authorization, billing, usage limits, or security controls;
  6. access or attempt to access another customer’s Account, Customer Content, Reports, data, systems, or history;
  7. probe, scan, test, attack, overload, disrupt, compromise, or interfere with the Service or its infrastructure;
  8. use bots, scrapers, automated tools, bulk upload tools, or other automated means in a manner that imposes unreasonable load or circumvents intended limits;
  9. reverse engineer, decompile, disassemble, copy, modify, or attempt to derive the source code, models, prompts, algorithms, scoring logic, rules, methods, or underlying systems of the Service, except to the extent such restriction is prohibited by applicable law;
  10. use the Service to develop, train, benchmark, evaluate, or improve a competing product or service without KIPN.AI’s prior written consent;
  11. resell, sublicense, distribute, rent, lease, commercially exploit, or provide the Service to third parties as a managed service without KIPN.AI’s prior written consent;
  12. misrepresent any Report as a certification, formal audit, legal opinion, security attestation, compliance approval, guarantee, or endorsement by KIPN.AI;
  13. access or use the Service in violation of applicable export control, sanctions, anti-boycott, or trade compliance laws.

KIPN.AI may investigate suspected violations and may suspend, restrict, or terminate access to the Service where KIPN.AI reasonably determines that Customer has violated this Section or otherwise created legal, security, operational, commercial, reputational, or financial risk.


18. Export Controls and Sanctions

Customer shall comply with all applicable export control, sanctions, anti-boycott, and trade compliance laws and regulations, including, where applicable, the laws and regulations of Israel, the United States, the European Union, the United Kingdom, and any other relevant jurisdiction.

Customer shall not access or use the Service, or permit the Service to be accessed or used, in or from any jurisdiction, territory, or by any person or entity where such access or use is prohibited by applicable sanctions, export control laws, or trade restrictions.

Customer represents and warrants that Customer is not located in, organized under the laws of, or ordinarily resident in any jurisdiction subject to comprehensive sanctions, and is not listed on any applicable restricted-party, denied-party, sanctions, or export-control list.

Customer shall not use the Service for any prohibited end use, including any unlawful military, weapons, surveillance, nuclear, chemical, biological, missile, or other restricted end use.


19. Sharing Reports

Customer may use Reports for internal business purposes and may share Reports externally, subject to these Terms.

Customer shall not state or imply that a Report constitutes a certification, formal audit, legal opinion, security attestation, compliance approval, professional endorsement, or guarantee by KIPN.AI.

Customer shall not state or imply that KIPN.AI certified, approved, verified, guaranteed, audited, endorsed, or validated Customer, Customer’s workflows, Customer’s systems, Customer’s services, Customer’s expertise, or Customer’s business.

Customer shall not alter, publish, present, or distribute a Report in a misleading, deceptive, incomplete, or unlawful manner.


20. Intellectual Property

KIPN.AI and its licensors retain all right, title, and interest in and to the Service, including all software, source code, object code, systems, workflows, models, prompts, algorithms, scoring logic, rules, heuristics, methods, designs, interfaces, graphics, documentation, trade names, trademarks, service marks, logos, and all improvements, modifications, and derivative works thereof.

Except for the limited rights expressly granted in these Terms, no license or right is granted to Customer in or to any KIPN.AI intellectual property.

Customer shall not copy, modify, adapt, translate, distribute, sell, lease, sublicense, create derivative works from, or otherwise exploit the Service except as expressly permitted by these Terms or authorized in writing by KIPN.AI.


21. Feedback

If Customer provides ideas, suggestions, comments, bug reports, feature requests, recommendations, or other feedback regarding the Service (“Feedback”), Customer grants KIPN.AI a perpetual, irrevocable, worldwide, royalty-free, fully paid, transferable, sublicensable license to use, reproduce, modify, adapt, publish, distribute, commercialize, and otherwise exploit such Feedback without restriction, attribution, compensation, or obligation to Customer.


22. Publicity

Unless Customer notifies KIPN.AI otherwise by email at support@kipn.ai, KIPN.AI may identify Customer’s business name, trade name, and logo as a customer of the Service in KIPN.AI’s website, presentations, marketing materials, customer lists, and promotional materials.

KIPN.AI shall not state or imply that Customer endorses KIPN.AI, that Customer’s workflows have been certified or audited by KIPN.AI, or that Customer has approved any specific claim, case study, testimonial, or public statement, unless Customer has separately agreed to such use in writing.

This Section does not apply to individual consumers using the Service in a personal capacity, unless such individual has expressly consented.


23. Third-Party Services

The Service may interoperate with, depend on, integrate with, or reference Third-Party Services.

KIPN.AI does not control and is not responsible for Third-Party Services, including their availability, performance, security, accuracy, legality, terms, privacy practices, support, changes, or discontinuation.

Customer’s use of Third-Party Services is subject to the terms, policies, and practices of the applicable third-party providers.

References to n8n, Make, or any other third party do not imply endorsement, sponsorship, partnership, certification, or affiliation unless expressly stated by KIPN.AI.

KIPN.AI shall not be liable for any loss, damage, failure, interruption, error, delay, or other issue arising from or related to Third-Party Services.


24. Account Deletion

Customer may request deletion of an Account by contacting support@kipn.ai.

Following deletion of an Account, Customer may lose access to the Account, Customer Content, Reports, history, paid features, unused credits, and related Service data.

KIPN.AI may retain information to the extent necessary or permitted under applicable law, including for fraud prevention, abuse prevention, security, dispute resolution, enforcement of these Terms, tax, accounting, audit, legal compliance, and legitimate business record purposes.

KIPN.AI may require reasonable verification of identity or Account ownership before processing an Account deletion request.


25. Suspension and Termination

Customer may stop using the Service at any time. Termination or discontinuation of use does not relieve Customer of payment obligations incurred before termination.

KIPN.AI may suspend, restrict, or terminate Customer’s access to the Service, any Account, any Free Plan, any Paid Plan, or any feature, in whole or in part, at any time, with or without notice, if KIPN.AI reasonably believes that:

  1. Customer has breached these Terms;
  2. Customer has violated applicable law;
  3. Customer’s use creates legal, security, operational, financial, reputational, or commercial risk;
  4. Customer’s Account is being used fraudulently, abusively, or without authorization;
  5. Customer has failed to pay applicable fees;
  6. suspension or termination is required by law, court order, regulator, authority, payment processor, infrastructure provider, or other Third-Party Service;
  7. the Service, plan, or feature is discontinued or materially modified.

Upon termination, Customer’s right to access and use the Service shall cease immediately.

Sections that by their nature should survive termination shall survive, including Sections concerning payment obligations, Customer Content, Reports, intellectual property, Feedback, Publicity, De-Identified Data, disclaimers, limitation of liability, indemnification, governing law, dispute resolution, and miscellaneous provisions.


26. Modifications to the Service

KIPN.AI may modify, update, suspend, discontinue, replace, limit, or remove the Service, or any feature, functionality, plan, report type, scoring methodology, analysis method, supported platform, usage limit, or availability of the Service, at any time.

KIPN.AI shall not be liable for any modification, suspension, discontinuation, loss of access, loss of features, loss of Customer Content, loss of Reports, loss of history, or inability to use the Service.


27. Changes to these Terms

KIPN.AI may update these Terms from time to time.

If KIPN.AI makes material changes, KIPN.AI may provide notice by email, in-product notice, posting on the Service, or another reasonable method. Updated Terms will become effective as of the date stated in the updated version or as otherwise communicated.

Continued access to or use of the Service after updated Terms become effective constitutes acceptance of the updated Terms. If Customer does not agree to the updated Terms, Customer must stop using the Service.


28. Disclaimers

To the maximum extent permitted by applicable law, the Service, Reports, Customer Content processing, analysis, recommendations, outputs, and all related materials are provided on an “as is” and “as available” basis, with all faults and without warranty of any kind.

KIPN.AI expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, completeness, reliability, availability, security, and any warranty arising from course of dealing, course of performance, or usage of trade.

Without limiting the foregoing, KIPN.AI does not warrant that:

  1. the Service will be uninterrupted, timely, secure, available, or error-free;
  2. Reports will be accurate, complete, reliable, current, or suitable for Customer’s needs;
  3. sanitization will detect, classify, replace, or remove all Sensitive Data;
  4. defects, vulnerabilities, or errors will be corrected;
  5. the Service will identify all workflow issues, cost issues, security risks, reliability risks, defects, or optimization opportunities;
  6. any recommendation will achieve any particular result;
  7. Customer Content, Reports, Account history, or Service data will always remain available or recoverable;
  8. the Service will be free from malware, vulnerabilities, unauthorized access, or harmful components.

Customer uses the Service and relies on Reports solely at Customer’s own risk.


29. Limitation of Liability

To the maximum extent permitted by applicable law, KIPN.AI shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for any loss of profits, revenue, goodwill, business, opportunity, anticipated savings, data, files, Reports, security, reputation, or business interruption, whether arising in contract, tort, negligence, strict liability, statute, or otherwise, even if KIPN.AI has been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, KIPN.AI’s total aggregate liability arising out of or relating to the Service, any Report, any Paid Plan, any Free Plan, or these Terms shall not exceed the amount actually paid by Customer to KIPN.AI for the specific Service giving rise to the claim during the three (3) months immediately preceding the event giving rise to liability.

For Customers using only the Free Plan, KIPN.AI’s liability shall be excluded to the maximum extent permitted by applicable law.

Nothing in these Terms excludes or limits liability to the extent such liability cannot be excluded or limited under applicable law.


30. Indemnification

Customer shall defend, indemnify, and hold harmless KIPN.AI, its affiliates, service providers, licensors, and their respective officers, directors, employees, contractors, agents, and representatives from and against any claims, demands, actions, proceedings, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising out of or relating to:

  1. Customer’s access to or use of the Service;
  2. Customer Content;
  3. any Workflow File, Sanitized Workflow File, or Report;
  4. Customer’s breach of these Terms;
  5. Customer’s violation of applicable law;
  6. Customer’s violation of any third-party right, including intellectual-property, privacy, confidentiality, contractual, or data-protection rights;
  7. Customer’s use, publication, distribution, or sharing of any Report;
  8. any decision, action, workflow change, business action, technical change, or reliance based on the Service or any Report.

31. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to conflict-of-law principles.

The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

Subject to any mandatory rights available under applicable consumer-protection law, the competent courts located in Tel Aviv-Yafo, Israel shall have exclusive jurisdiction over any dispute, claim, action, or proceeding arising out of or relating to these Terms, the Service, any Account, any Report, or any relationship between Customer and KIPN.AI.

Nothing in these Terms shall prevent KIPN.AI from seeking injunctive, equitable, or urgent relief in any court of competent jurisdiction in relation to unauthorized access, misuse of the Service, infringement or misuse of intellectual property, breach of confidentiality, security abuse, or violation of applicable law.


32. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy and any applicable order form, checkout terms, invoice, or additional written terms, constitute the entire agreement between Customer and KIPN.AI regarding the Service and supersede all prior or contemporaneous agreements, understandings, representations, and communications.

Severability. If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable.

No Waiver. Failure by KIPN.AI to enforce any provision of these Terms shall not constitute a waiver of such provision or any other provision.

Assignment. Customer may not assign, transfer, or delegate these Terms or any rights or obligations under these Terms without KIPN.AI’s prior written consent. KIPN.AI may assign, transfer, or delegate these Terms in connection with a merger, acquisition, reorganization, sale of assets, change of control, or by operation of law.

Independent Contractors. Nothing in these Terms creates any partnership, joint venture, agency, fiduciary, employment, franchise, or representative relationship between Customer and KIPN.AI.

Force Majeure. KIPN.AI shall not be liable for any delay, failure, interruption, or inability to perform caused by events beyond its reasonable control, including acts of God, war, terrorism, armed conflict, civil unrest, labor disputes, natural disasters, internet failures, infrastructure failures, Third-Party Service failures, cyberattacks, governmental action, power failures, payment processor failures, or other events beyond KIPN.AI’s reasonable control.

Notices. KIPN.AI may provide notices by email, through the Service, by posting on the Service, or by any other reasonable method. Customer may contact KIPN.AI using the contact details below.

Language. These Terms are drafted in English. Any translation is provided for convenience only. The English version shall control.
